YELLOWSHAKE LLC TERMS AND CONDITIONS AND PRIVACY POLICY

These Terms and Conditions and Privacy Policy (“Agreement”) govern the relationship between YELLOWSHAKE LLC (“YELLOWSHAKE,” “we,” “us,” or “our”) and the individual or entity accepting this Agreement (“User,” “you,” or “your”).
By accessing or using the YELLOWSHAKE website(s), submitting information through the website(s), requesting information, consultations, or services, or engaging with any services offered through YELLOWSHAKE, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.
If you are accepting this Agreement on behalf of a company or organization, you represent and warrant that you have authority to bind that entity to this Agreement.
1. Services
1.1 Platform Services
YELLOWSHAKE operates a business services and informational platform that connects businesses with independent third-party providers offering business, operational, technology, communications, financial, logistics, consulting, and other related products or services (“Service Providers”).
YELLOWSHAKE may from time to time offer consulting, advisory, or related business services directly to clients. Any such services shall be governed exclusively by a separate written service agreement executed between YELLOWSHAKE and the applicable client. Except as expressly set forth in such separate agreement, YELLOWSHAKE does not directly provide the third-party products or services offered by Service Providers.
1.2 Third-Party Service Providers
Any services performed for User are provided solely by independent third-party Service Providers pursuant to separate agreements between User and the applicable Service Provider.
YELLOWSHAKE is not a party to any agreement entered into between User and a Service Provider and shall not be responsible or liable for:
• the performance, quality, availability, or suitability of any products or services provided by a Service Provider;
• pricing, billing, credits, refunds, fees, or payment disputes;
• delays, interruptions, outages, or service failures;
• errors, omissions, or inaccuracies;
• regulatory or compliance issues;
• contractual disputes between User and a Service Provider;
• or any acts, omissions, misconduct, or failures of any Service Provider.
1.3 No Guarantee of Results
YELLOWSHAKE does not guarantee:
• specific business results;
• financial savings;
• operational improvements;
• service availability;
• performance outcomes;
• accuracy of information;
• suitability of any product or service;
• or any particular outcome from engaging with a Service Provider.
Past performance, historical results, or prior experiences do not guarantee future outcomes.
1.4 User Responsibility
User is solely responsible for evaluating, selecting, and entering into agreements with any Service Provider presented, introduced, or made available through YELLOWSHAKE.
2. Third-Party Fees and Billing
Any fees charged for products or services offered by a Service Provider are determined exclusively by the applicable Service Provider under separate agreements between User and the Service Provider.
YELLOWSHAKE does not invoice User for third-party services and is not responsible for disputes regarding fees, invoices, credits, refunds, or payment obligations between User and any Service Provider.
3. Authorization to Share Information
User authorizes YELLOWSHAKE to collect, use, and share operational, account, business, contact, usage, and related information with Service Providers and other business partners for purposes of evaluating, facilitating, introducing, coordinating, or providing products or services requested by User.
Such information may be collected through the website(s), email communications, telephone conversations, meetings, consultations, referrals, or other interactions with YELLOWSHAKE.
YELLOWSHAKE will use commercially reasonable measures to safeguard information provided to it; however, User acknowledges that YELLOWSHAKE is not responsible for the security practices, acts, or omissions of third-party Service Providers or other third parties.
4. Confidentiality
4.1 Confidential Information
“Confidential Information” means non-public business, operational, financial, technical, customer, marketing, or proprietary information disclosed by one party (“Disclosing Party”) to the other party (“Receiving Party”), whether oral, written, electronic, or otherwise.
4.2 Obligations
Each party agrees to:
• maintain the confidentiality of Confidential Information;
• use Confidential Information solely for purposes related to this Agreement;
• and not disclose Confidential Information to third parties except as permitted herein.
4.3 Exceptions
Confidential Information does not include information that:
• becomes publicly available through no fault of the Receiving Party;
• was already lawfully known by the Receiving Party;
• is received from a third party without confidentiality restrictions;
• or is required to be disclosed by law or court order.
4.4 Authorized Disclosure
User acknowledges and agrees that YELLOWSHAKE may disclose relevant information to Service Providers for purposes of facilitating requested services.
5. Website Use
5.1 Permitted Use
User may access and use YELLOWSHAKE’s website(s) solely for lawful business purposes related to evaluating products, services, and business opportunities offered through the YELLOWSHAKE.
5.2 Prohibited Conduct
User agrees not to:
• misuse the website;
• attempt unauthorized access;
• interfere with website operations;
• upload malicious code;
• scrape or copy content without authorization;
• or use the website in violation of applicable law.
5.3 Website Availability

YELLOWSHAKE DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY SERVICE PROVIDER OR ANY SERVICES PROVIDED BY THIRD PARTIES.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YELLOWSHAKE SHALL NOT BE LIABLE FOR ANY:
• INDIRECT;
• INCIDENTAL;
• SPECIAL;
• CONSEQUENTIAL;
• EXEMPLARY;
• PUNITIVE;
• OR LOST PROFITS DAMAGES
ARISING OUT OF OR RELATED TO:
• THIS AGREEMENT;
• THE WEBSITE(S);
• SERVICES;
• THIRD-PARTY SERVICES;
• OR USER’S USE OF OR RELIANCE ON ANY INFORMATION PROVIDED BY YELLOWSHAKE.
IN NO EVENT SHALL YELLOWSHAKE’S TOTAL AGGREGATE LIABILITY EXCEED ONE HUNDRED U.S. DOLLARS ($100).
9. Indemnification
User agrees to defend, indemnify, and hold harmless YELLOWSHAKE and its officers, directors, employees, contractors, affiliates, and agents from and against any claims, liabilities, damages, losses, expenses, or costs, including reasonable attorneys’ fees, arising out of or related to:
• User’s use of the website(s);
• User’s use of services;
• User’s relationship with any Service Provider;
• User’s violation of this Agreement;
• or User’s violation of applicable law.
10. Intellectual Property
All website content, trademarks, logos, graphics, text, software, and related intellectual property are owned by YELLOWSHAKE or its licensors and may not be copied, reproduced, distributed, or used without prior written permission.
Any third-party trademarks, service marks, company names, or logos referenced on the website remain the property of their respective owners. YELLOWSHAKE is not affiliated with, sponsored by, or endorsed by any third-party provider unless expressly stated otherwise.
11. Term and Termination
Either party may terminate this Agreement at any time upon written notice.
Sections relating to confidentiality, disclaimers, limitation of liability, indemnification, intellectual property, governing law, and dispute resolution shall survive termination.
12. Independent Parties
Nothing in this Agreement creates any:
• partnership;
• joint venture;
• fiduciary relationship;
• employment relationship;
• agency relationship;
• or franchise relationship
between YELLOWSHAKE and User or between YELLOWSHAKE and any Service Provider.
13. Force Majeure
YELLOWSHAKE shall not be liable for delays or failures resulting from causes beyond its reasonable control, including:
• acts of God;
• natural disasters;
• internet outages;
• cyberattacks;
• labor disputes;
• governmental actions;
• pandemics;
• utility failures;
• or telecommunications disruptions.
14. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict of law principles.
15. Dispute Resolution
Any dispute arising out of or relating to this Agreement shall be resolved exclusively in the state or federal courts located in New Jersey, and the parties consent to the jurisdiction of such courts.
16. Severability
If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
17. Entire Agreement
This Agreement constitutes the complete and exclusive agreement between the parties regarding the subject matter herein and supersedes all prior or contemporaneous agreements, communications, and understandings, whether oral or written.
18. Modifications
YELLOWSHAKE may modify this Agreement from time to time by posting an updated version on its website. Continued use of the website(s) or services following such modifications constitutes acceptance of the revised Agreement.
